BUY-SELL AGREEMENT

Many successful partnerships end in disaster because one partner dies and the company has no buy-sell agreement. Obviously, upon death, the partner's shares and interest in the company revert to his or her spouse, who usually wants to become active in the business yet has little or no experience in it, nor the talent or expertise to handle the job. This leaves the surviving partner faced with working with the wife or husband of the deceased partner in what is typically a difficult arrangement. A buy-sell agreement makes it clear that both or all partners agree to the company or surviving partner(s) buying out his or her interest upon death. In order for a Company to provide benefits to its members, officers, managers, or employees, the criteria for which these benefits are allowed must be spelled out in the Operating Agreement or By-Laws of the organization.
