KINDS OF CORPORATIONS

DOMESTIC CORPORATION: A Domestic Corporation is a corporation that operates in the state in which it is formed. If you establish a corporation in a state and do business in that state and the corporate offices are located in that state, it is a Domestic Corporation.

FOREIGN CORPORATION: If you establish a corporation in a state where you do not intend to do business, but only want the corporation incorporated in that state, then you will need to establish a foreign corporation in the state in which you do plan to do business and in which the corporate offices are located. The most popular foreign corporations are established in the states of Delaware and Nevada.

INTERNATIONAL OR OFFSHORE CORPORATIONS: These are corporations formed and incorporated outside the United States. There are specific and extensive tax and legal requirements in owning such an offshore corporation.

A small, entrepreneurial corporation is usually formed for one of two reasons: 1) to provide distance between those forming the corporation and the public, or 2) providing security and protection for personal assets separately from corporate assets.

CORPORATE SEAL: A Corporate Seal can be useful in some corporations with paperwork and documents, but don't be confused into thinking that a seal makes your corporation any more legitimate or practical. Generally, it is the Articles of Incorporation and Bylaws that determine your corporation, and the Resolutions established from time to time in the running of your business.
